CONTRACTS NEGOTIATOR SPECIALIST

Job Description: The Sponsored Programs Contracts Officer (SPCO) supports the research and sponsored programs activities of the University through the development, issuance, review, negotiation of, and forwarding for execution, contractual and other agreements related to sponsored programs and research. The SPCO facilitates external research collaborations and sponsored activities of all types while protecting the rights, reputation, and resources of the University. Specific job responsibilities are:

- Develop, review, negotiate legal agreements, including non-routine bilateral grant agreements, contracts, subaward agreements, and purchase orders, for research, education, and service activities funded by federal sponsors, other governmental entities, non-profit organizations, industry, and foreign entities to ensure conformity with federal and state laws, University policy, and applicable sponsor or contractor guidelines. Prepare final documents for execution by an Authorized Official.

- Solve complex problems and seek creative solutions to obstacles encountered in negotiation of agreements to benefit and protect the University and PI/PD while also meeting the other party's needs and accomplishing the intended purpose of the agreement.

- Review University's prime awards to assess risk and develop, negotiate, and forward for execution subaward agreements to subawardees. Identify appropriate terms and conditions for the subaward agreement that reflect the nature of the work and the relationship and the subawardee risk level.

- Develop, review, negotiate, and forward for execution non-sponsored research-related agreements, including, but not limited to, incoming and outgoing Memoranda of Understanding/Agreement (MOUs/MOAs), Cooperative Research and Development Agreements (CRADAs), Confidential Disclosure Agreements (CDAs), Data Use Agreements (DUAs), teaming agreements, master agreements and task orders, facilities use agreements, and visiting scientist agreements.

- Consult with OSP Sponsored Programs Officers, Hub Administrators, PI/PDs, and Associate Deans for Research as necessary to understand the nature of projects and relationships to identify appropriate agreement terms and conditions. Consult with OSP Sponsored Programs Officers and OGC Financial Analysts regarding sponsor and subawardee risk and appropriate terms and conditions to reduce risk; the Clinical Trials Office on clinical trial and clinical research matters; the Office of Technology Transfer on contractual issues related to intellectual property, copyright, and materials transfer; and the Office of Research Integrity & Compliance regarding conflicts of interest, export controls, and other regulatory compliance matters. Consult and work collaboratively with the Office of the University Attorney as necessary to ensure protection of the University's interests in all contractual agreements.


Minimum Qualifications: Master's degree; or Bachelor's degree plus two years of contract review and negotiation experience.
