Assistant/Associate General Counsel

Context of the Job:

This position reports to the Vice President and General Counsel. The Office of General Counsel (OGC) consists of four full-time attorneys (Vice President and General Counsel, Deputy General Counsel, Associate General Counsel, and the Assistant General Counsel). The Office handles a full range of legal issues for the University, including serving as counsel to the institution's governing board, providing counsel to the President, Provost, Executive Vice President, Vice Presidents, Deans and other officers and senior administrators, handling transactional matters, drafting and reviewing contracts, drafting and reviewing institutional policies, advising on the application and interpretation of pertinent federal and state laws, managing litigation, and representing the University in a variety of internal and external adjudicatory forums. The Office engages and supervises outside counsel for assistance with complex matters and court litigation.

The OGC is a dynamic, fast-paced environment. The Assistant/Associate General Counsel will perform a wide range of legal assignments under the supervision of the Vice President. All University attorneys are expected to work at the highest professional level with integrity, excellent judgment, attention to detail, and discretion, and to demonstrate the highest personal and leadership characteristics of teamwork, inclusiveness, calmness, and adaptability to a broad range of issues, people, and situations.

Specific areas of practice will include: e-commerce and internet issues, intellectual property, distance learning, contracting and transactional work, real estate, construction, municipal law and zoning and other areas as needed.

Major Responsibilities:
  • Provide independent legal advice, counsel and assistance to University clients in diverse areas including labor and employment law, student disciplinary matters, tax and benefits, contract law, ongoing litigation, affirmative action, and compliance with federal and state laws and regulations.
  • Act as the Office's liaison with other areas as assigned by the Vice President.
  • Provide advice, formulate courses of action, draft correspondence, draft policies and procedures, and counsel various University officials to resolve legal, procedural and administrative issues and ensure compliance with all applicable legal requirements.
  • Assist in conducting internal investigations and formal inquiries. Be responsible for negotiating, drafting, reviewing and approving a wide variety of contracts.
  • Conduct legal research and analysis to remain current on the laws and regulations governing the assigned areas.
  • Undertake projects relevant to the law and its impact on the operations of the University, as requested by the Vice President.

Qualifications:
  • J.D. degree from an accredited American law school and at least three years of experience as a practicing lawyer.
  • Admission to practice law in Delaware or eligibility for limited admission to the Delaware Bar under the in-house counsel rule (Delaware Supreme Court Rule 55.1).
  • High achieving undergraduate and law school record.
  • Effective legal research and writing skills. Sound legal and practical judgment.
  • Knowledge of the principles and procedures of legal research, with ability to conduct legal research.
  • Enthusiasm for university life, and the confidence necessary to engage with high-level administrative and academic officials in a fast-paced setting preferred.
  • Effective interpersonal skills, including listening and verbal communication skills.
  • Ability to create, compose and edit legal opinions and other written materials.
  • Ability to investigate and analyze information and draw conclusions.
  • Ability to operate smoothly and effectively in a group setting.
  • Ability to build and maintain relationships.
